Minutes of August 11, 2001

Greetings everyone,
Here are the minutes for the most recent meeting. But first...

(Offscreen): So what now?
[CU on Greggory]
{Flashback}
Clone Leader 1: Not only did you fail in the latest Duel, despite the vast amount of resources spent on the Berniie-Raay project, including the highly irregular allowance we made to create artificial clones -- an allowance, mind you, that nearly factionised the Clone Order; you then went on without this Leadership's permission to attempt a reDuel, a move that cost us Michaael and nearly lost us Jokaay.
Greggory: Need I remind you that because of me Jokaay and Daanny are now stable?
Clone Leader 1: Just be thankful that Jokaay was able to get back to us after her detention by the Templants. We have already taken this into consideration in pronouncing our judgement, which is as follows: Greggory, you are hereby relieved of your position as Administrator of the CABay Sector. You will surrender all rank and privileges forthwith, and will cease all Lambda activity for a period of no less than five years.
Greggory (shaken): And the others?
Clone Leader 1: Jokaay and Daanny have been granted joint leadership of CABay...
Greggory: What?!
Clone Leader 1: An obvious choice, since they were the only victors in the Duel. Briian and Berniie we will allow to remain at CABay, as entry-level Clones. As for Haarlan, you need not preoccupy yourself with that one. Now go.
{End Flashback}
Greggory: We go here...

Yuhan: Here's the Bylaws version 2 everyone.
Everyone: Yaay!
Yuhan: Now, first thing. If you remember, we need a bank. Most likely we'll be using Wells Fargo, and I'll get all the details we will need to set this up. Now let's continue going through the Bylaws...

[And so it went. After some discussion, the following happened:

-- the wording of Section 3.05 will be changed to cover any "vacancy of office" in general.
-- Section 3.09c will be altered to read "...to ensure that members be notified 4 days before..."

At this point...]

Yuhan: The point of 3.09c is that members be given at least 4 days' notification of meetings and such.

[Continuing...

But wait!]

Yuhan: You, go!
Bernie: We will ride different planes.
Gregory: E-mail spam!
Bart: Ay Caramba!

[We now continue...

-- Section 4.01 will be changed such that dues due will be $10 if one joins in or after January, and $5 if one joins in or after July.
-- Section 2.01b now includes annual dues plus any assessments.
-- To Section 4.03 will be added the same "defraying the expense of Chapter operations" clause as in Section 4.04. And Yuhan will "Copy, paste."

And then the meeting got REALLY complex...

[Despite much square-rooting of -1, the following was decided:

-- Section 4.02 will only have 50% of affirmative votes by Chapter members deciding Assessments. The 75% clause is stricken.
-- Section 5.03: The quorum is now 10% of members, with a minimum of 10 people, in order to conduct chapter business. In order to carry out a successful vote, 40% of the members must cast votes.
-- Section 6.03 will be copied to a new section 5.05. 6.03 will then be altered to specifically refer to amendments to the Bylaws. In addition, the "officer empowerment in absentee votes" clause will be removed. This clause will only apply to voting on regular issues.
-- Section 6.02 will now require 2/3 of all the members, with a time limit of 2 weeks as specified in 6.03.
-- The time of the elections, aka "the big-ass meeting" (Bernie), specified in Section 5.02 will be changed to May, to better coincide with graduations.
-- At this point of the discussions, my head began to hurt.
-- After which, the wording of Section 5.02 will be changed from "regular meeting" to "annual meeting".
-- Finally Section 5.02 will be split into 5.02a and 5.02b . 5.02b will explain the necessary steps to be taken in the absence of an in situ quorum. The bit about calling additional meetings will remain in Section 5.02a . -- Following this, I will brush up on Latin.
-- The requirements of Section 3.04 will be changed to require 50% of all members to create directorships.
-- We all agreed with Bernie, that "Brian agrees with everything we say."
-- Yes, it all looks nice and neat now, but trust me, it was quite complex. My notes, as it turns out, since they were written chronologically, aren't that much better, so that my head's starting to hurt again...
-- As an aside, I christen us the Frankenstein Brigade.

At this point Kenneth showed up and kicked us out of the rec room.

Yuhan: So let's meet again. We need to do a final going-over of the next revised version of the Bylaws; we need at least 10 people to sign the petition and ratify the Bylaws; we need to cross the Delaware...So next meeting on the 25th all right for everyone?
Everyone: Yes.
Yuhan: Okay.

[A little later...]
Greggory: Gregory!
Gregory: What the...What are you doing here Gregg?
Greggory: I need your help.
Gregory: Yeah, heard that before. I don't have time for this, got a movie to catch.
Greggory: But this time I really...
Gregory: Look, save it! I'm running late, I-80's a parking lot, I've got to go. So long.

[Meanwhile, at Stanford University...
Ray is once again pounding at the piano. Despite trying for a week, he is still inexplicably unable to play that particular part of Rachmaninoff's Third Piano Concerto right. Finally, in extreme anger and frustration, he leaps up, grabs the piano bench, and lifts it high above his head, ready to send it crashing down, when...]

Caroline: Ray! No!!!
Ray: Wha...? (Manages to regain some control) Yeah...(puts the bench back) It's starting to drive me nuts though...
